Affiliate Agreement

Effective Date: Upon registration in the DocLocker Affiliate Program

By registering as an affiliate of DocLocker, LLC, a North Carolina limited liability company with its principal business address at 19701 Bethel Church Rd #103-186
Cornelius, NC 28031 (“DocLocker”), you (“Affiliate”) agree to be bound by the following terms and conditions.

1. Purpose

DocLocker provides a document storage and organization platform (the “Service”). The purpose of this agreement is to outline the terms by which Affiliate may promote the Service in exchange for referral-based compensation.

2. Affiliate Responsibilities

  • Promote DocLocker in a manner consistent with the brand’s values.
  • Use only approved marketing materials unless given written permission.
  • Clearly disclose the affiliate relationship in all content per FTC and applicable regulations.

All promotional costs incurred by Affiliate are their sole responsibility unless agreed to otherwise in writing.

3. Qualified Referrals & Payment

A Qualified Referral is defined as a new user who:

  • Signs up for a paid DocLocker subscription via the Affiliate’s unique referral link or code,
  • Is not an existing DocLocker customer, and
  • Remains a paid subscriber for at least 30 days.

Referral Fee: $10.00 per Qualified Referral (one-time payment).

Payment Terms:

  • Referral fees are paid within 30 days after the end of the month in which the referral is verified.
  • Monthly reports detailing tracked referrals and commissions will be provided.
  • Affiliates are responsible for all applicable taxes on payments received.

4. Termination

This agreement remains in effect until terminated by either party. Either DocLocker or Affiliate may terminate participation at any time with 30 days’ written notice. DocLocker may immediately terminate any affiliate account in cases of policy violation, brand damage, fraud, or misuse.

Qualified referrals made before termination will be paid according to this agreement.

5. Confidentiality

Affiliates agree to keep confidential any proprietary, non-public information received through the program, including business practices, systems, or customer data.

6. Non-Solicitation

Affiliate agrees not to use DocLocker-sourced user data to promote competing products. DocLocker agrees not to market directly to the Affiliate’s audience without appropriate attribution.

7. Intellectual Property

Affiliates are granted a limited, non-exclusive license to use DocLocker brand assets solely for promotional purposes. All rights remain with DocLocker.

8. Legal Compliance

Affiliate affirms compliance with all local, national, and international laws, including but not limited to those involving consumer protection, privacy, advertising, and tax reporting.

9. Indemnification

Each party agrees to indemnify and hold the other harmless against claims, losses, or liabilities arising from their own misconduct or breach of this agreement.

10. Limitation of Liability

DocLocker is not liable for indirect or incidental damages. Total liability will not exceed the amount paid to the Affiliate in the six months preceding any claim.

11. Governing Law

These terms are governed by the laws of the State of North Carolina. Any disputes shall be resolved exclusively in the courts located in Mecklenburg County, North Carolina.

12. Acceptance

By completing the affiliate registration process, you acknowledge and agree to these terms and conditions. Participation in the DocLocker Affiliate Program implies full acceptance of this agreement.
